Equipment Transfer Program - FQS262 (“ETPS262”)

Program Overview

The Equipment Transfer Program is designed to support the redistribution of CPAP units between organizations, while maintaining proper service history, performance standards, and traceability.

Under this program, an existing customer (“Donor Organization”) may transfer eligible units to a qualified organization (“Recipient Organization”). In return, Emergent Respiratory will provide replacement units to the Donor Organization at no cost, subject to the terms outlined below.

All units transferred through this program are serviced and tested by Emergent Respiratory prior to placement with the Recipient Organization to confirm they meet current performance standards.

How the Program Works

  1. The Donor Organization identifies the number of units to be transferred, including serial numbers and the intended Recipient Organization.
  2. Emergent Respiratory reviews eligibility for both organizations and the units being submitted.
  3. Pending availability, new units are sent to the Donor Organization. Included alongside these replacement units will be the standard Certificate of Conformance, return label(s) for the units to be sent back to Emergent Respiratory, and a certificate of transfer documenting:
    • the originating Donor Organization
    • the requirement for standard servicing upon return
    • all unit serial numbers to be transferred
    • the designated Recipient Organization for final delivery
  4. The Donor Organization must ship units to Emergent Respiratory for inspection, servicing, and testing.
  5. Once processed, serviced units are provided to the Recipient Organization under direct servicing.

This process ensures that all units entering service through this program meet current performance expectations and maintain a documented service history.

Organization Eligibility Requirements

Both the Donor Organization and Recipient Organization must meet the following requirements:

  • Must be in good standing with MDL Solutions Inc. (no overdue invoices, unresolved balances, or unreturned units)
  • Must have all required onboarding information on file, including:
    • applicable licensing or organizational credentials
    • tax status, if applicable
    • current administrative contact and billing information
  • The Recipient Organization must not have purchased product directly from Emergent Respiratory within the past 4 years.

Emergent Respiratory reserves the right to verify eligibility prior to approving participation in the program.

Recipient Organization Requirements

To participate in the program, the Recipient Organization must:

  • Complete standard customer onboarding, if not already on file
  • Purchase a minimum of five (5) circuits per unit at the time of transfer

This circuit purchase covers the servicing of each transferred unit and helps ensure the unit is placed into service with the necessary consumables. Circuits may be purchased in any available configuration, including 5-pack, 10-pack, or 50-pack options. All size variants are eligible.

Circuits may be purchased through standard website checkout, custom quote, or blanket purchase agreement. However, the required quantity must be purchased at the time of transfer.

Unit Eligibility Requirements

Units submitted for transfer must meet the following criteria:

  • Must have been serviced within the past 48 months to be automatically eligible
  • Units outside this window may require additional review or servicing prior to approval
  • Must be in complete and serviceable condition, including:
    • no cracked or structurally compromised housings
    • no major missing components
    • no broken connectors or critical interface damage
    • unit must be returned fully assembled, not in partial or disassembled condition

Units that do not meet these criteria may be declined or require additional service work prior to acceptance into the program.

Program Limitations

  • A maximum of 2,000 units may be transferred under this program
  • Participation is first come, first served
  • Replacement units are provided pending availability
  • Units transferred through this program are not eligible for future transfer under the Equipment Transfer Program - FQS262 (ETPS262)
  • Replacement units provided to the Donor Organization under this program are also not eligible for future transfer under ETPS262

Managed Service Program (MSP) Considerations

Units currently enrolled in a Managed Service Program (MSP) are eligible for transfer. However:

  • The existing MSP agreement must be updated
  • A signed addendum or amendment is required to document the transfer and reassignment of units

Additional Terms

  • Emergent Respiratory reserves the right to approve or deny participation based on eligibility, condition of units, or program capacity.
  • Additional service requirements may apply for units that fall outside standard eligibility criteria. If submitted units require additional servicing due to condition or outdated maintenance, the Donor Organization is responsible for approving and covering those costs. If such servicing is declined, Emergent Respiratory reserves the right to return the units unprocessed.
  • Program participation does not modify or replace existing contractual obligations unless explicitly agreed to in writing.
